Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and 360 CareFlow (“Company”, “we”, “us”), the provider of the 360 CareFlow software and related services. By accessing or using the Service, you agree to these Terms.

  1. Accounts & Eligibility

    • Provide accurate business information and keep credentials secure.
    • You are responsible for all activity under your account.
    • Comply with applicable privacy and healthcare laws when using the Service.
    • We may suspend or terminate accounts that violate these Terms.
  2. Software-Only; No Clinical Services

    360 CareFlow is an administrative practice-management platform. We do not provide medical advice, diagnosis, or treatment; we do not offer human clinical services or clinical decision support. The Service is intended for professional use by clinics that remain solely responsible for patient care.

  3. Subscriptions, Billing & Taxes

    Plans are offered on a monthly or annual basis and auto-renew until canceled. Billed annually upfront; renews yearly unless canceled. Prices exclude taxes, telecom/SMS fees, and government surcharges unless stated. Applicable VAT/GST may be added.

    For certain regions, our authorized reseller and Merchant of Record is Paddle. Your card statement may reference Paddle; your purchase is subject to Paddle’s buyer terms, tax handling, and invoicing.

  4. Trials, Cancellation & Refunds

    You may cancel at any time from Billing settings; cancellation takes effect at the end of the current billing period. Refunds (if any) are governed by our Refund Policy.

  5. Acceptable Use

    You agree not to use the Service for any prohibited category under common card-network and reseller rules (e.g., Paddle AUP). Prohibited examples include:

    • Human services unrelated to software (e.g., paid consulting/coaching sold through our checkout).
    • Marketplaces enabling third parties to sell goods/services; resale of products you don’t own.
    • Adult content/services; gambling, lotteries, contests; weapons or regulated physical goods.
    • Financial services (payments processing, money transmission, crypto exchange or trading signals).
    • Illicit or infringing activities (copyright/brand infringement, IPTV/streaming piracy, spyware, device unlocking, keyloggers, unauthorized data access).
    • Automated or unsolicited outreach (spam), outbound telemarketing, or mass SMS without compliant consent and opt-outs.
    • Content generation abusing likeness (deepfakes/face swaps/voice impersonations) without explicit consent.

    Additionally, you must not: share accounts, scrape data, probe or attack the Service, or reverse engineer except as permitted by law.

  6. Data Ownership & Processing

    You own Your Data. We act as a data processor to provide and improve the Service, per our Privacy Policy. A Data Processing Agreement (and BAA for eligible plans) is available upon request.

  7. Service Levels & Maintenance

    We aim for high availability with planned maintenance windows. Enterprise plans may include a 99.9% SLA.

  8. Third-Party Services

    Integrations (e.g., payments, SMS, analytics, hosting) are provided by third parties and are subject to their terms and policies.

  9. Security

    We use encryption in transit and at rest, role-based access, backups, and other safeguards. No system is 100% secure and you are responsible for configuring your users and access controls appropriately.

  10. Disputes & Chargebacks

    You agree to cooperate with us and/or Paddle to investigate and resolve payment disputes, chargebacks, fraud reviews, or compliance checks, including by providing accurate evidence upon request.

  11. Limitation of Liability

    To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, even if advised of the possibility.

  12. Changes

    We may update features, pricing, or these Terms with reasonable notice. Continued use after an update constitutes acceptance.

  13. Export Compliance & Sanctions

    You represent that you are not barred from using the Service under applicable export control or sanctions laws and will not use the Service in violation of those laws.

  14. Governing Law

    These Terms are governed by the laws applicable to your contracting entity and venue as specified on your order or invoice.
